These Terms and Conditions (“Terms”) govern your use of our website and services. By accessing our website, submitting an inquiry, scheduling an appointment, or engaging Yakima Valley Signature Solutions LLC for services, you acknowledge and agree to these Terms. Please review these Terms carefully. If you do not agree with them, you should not use our website or engage our services. 1. Definitions “Company,” “we,” “us,” or “our” refers to Yakima Valley Signature Solutions LLC. “Client” refers to an individual, business, organization, or other entity requesting or receiving services from the Company. “Services” refers to services offered by Yakima Valley Signature Solutions LLC, which may include mobile notary services, notary signing agent services, remote online notarization (RON), Signature Concierge Services, human resources consulting and support, document preparation and administrative support, translation and interpretation services, career support, field services, and other related professional services as agreed upon with the Client. “Website” refers to the Yakima Valley Signature Solutions LLC website, located at yvssllc.com, including its associated pages, forms, and content. 2. Services Yakima Valley Signature Solutions LLC provides various professional, administrative, notarial, and support services. Services may include mobile notary services, notary signing agent services, remote online notarization, Signature Concierge Services, human resources consulting and support, document preparation and administrative support, translation and interpretation services, career support, field services, and other related professional services that may be offered or agreed upon from time to time. The availability, scope, pricing, location, delivery method, scheduling, and requirements of each service may vary. The Company reserves the right to accept, decline, modify, suspend, or discontinue a requested service when appropriate, subject to any existing contractual obligations. 3. Signature Concierge Services Signature Concierge Services are customized engagements designed around a Client's particular needs, schedule, location, requested level of coordination, and scope of service. Submitting a Signature Concierge inquiry does not guarantee acceptance, availability, pricing, scheduling, or the formation of a service engagement. The Company may review each inquiry before deciding whether to accept an engagement. The scope of work, scheduling, travel requirements, fees, payment requirements, and other engagement terms may be communicated separately through a quote, invoice, engagement letter, service agreement, email, or other written communication. Signature Concierge Services are limited to services the Company is legally permitted, qualified, available, and willing to provide. The designation “Signature Concierge” does not expand the Company's authority to provide legal, financial, tax, medical, or other services that require professional licensing or authorization the Company does not possess. 4. Notary and Legal Services Disclaimer Yakima Valley Signature Solutions LLC is not a law firm. Unless expressly stated otherwise regarding a separately engaged licensed professional, the Company and its representatives are not attorneys and do not provide legal advice or legal representation. A notary public commission does not authorize the Company or its representatives to practice law. The Company does not provide services that constitute the unauthorized practice of law. This includes, but is not limited to: Providing legal advice, legal opinions, or legal representation; Interpreting statutes, regulations, court rules, or other laws for Clients; Interpreting the legal meaning, effect, or consequences of contracts, wills, trusts, powers of attorney, deeds, estate-planning documents, or other legal records; Advising a Client whether the Client should sign, refuse to sign, modify, or use a particular legal document; Determining which legal document or legal form a Client needs; Selecting or recommending legal documents or forms for a Client; Drafting legal records when doing so would constitute the practice of law; Selecting the appropriate notarial certificate or notarial act for a Client when that determination must be made by the Client or another authorized party; Advising Clients regarding legal rights, obligations, remedies, claims, or defenses; Acting as an immigration consultant or immigration expert; Providing immigration legal advice; Representing a person in immigration, judicial, administrative, or other legal proceedings; or Performing any other service that would exceed the Company's lawful professional scope or constitute the unauthorized practice of law. When a requested service requires legal interpretation, legal document selection, legal advice, or another service outside the Company's lawful scope, the Client must consult an attorney or other appropriately licensed or authorized professional. For notarial services, the Company's role is limited to performing lawful notarial acts within the authority granted to a Washington State Notary Public. I am not an attorney licensed to practice law in this state. I am not allowed to draft legal records, give advice on legal matters, including immigration, or charge a fee for those activities. Nothing offered through Signature Concierge Services, document preparation, administrative support, translation, interpretation, human resources consulting, career support, or any other Company service should be interpreted as legal advice or legal representation. 5. Document Preparation and Administrative Support Document preparation, document coordination, administrative assistance, and similar support provided by the Company are non-legal in nature and limited to the scope agreed upon with the Client. The Company may provide administrative, clerical, organizational, or document-related assistance when legally permissible. The Company will not make legal decisions for a Client, select legal documents for a Client, interpret the legal meaning or consequences of documents, or provide assistance that would constitute the unauthorized practice of law. Clients are responsible for reviewing and approving their documents and information for accuracy and completeness before signing, filing, recording, submitting, or otherwise using them. When legal drafting, interpretation, document selection, or advice is required, the Client should consult an attorney. 6. Human Resources Consulting and Support Human resources consulting and support provided by the Company are intended to provide general HR, administrative, organizational, and business support within the agreed scope of an engagement. HR services do not constitute legal advice or legal representation. Employment laws, regulations, agency guidance, and workplace requirements may change, and their application may depend upon an employer's specific circumstances. Clients remain responsible for their employment decisions, workplace practices, policies, compliance obligations, and implementation of any information or recommendations provided. When a matter requires legal interpretation, representation, or advice regarding employment law, the Client should consult qualified employment counsel. 7. Translation and Interpretation Services Translation and interpretation services are provided for linguistic and communication purposes and do not constitute legal advice, legal interpretation, or legal representation. The Company does not provide immigration advice or determine how a Client should answer legal or government forms through translation or interpretation services. Unless expressly agreed otherwise, the Company does not guarantee that a translation or other document will be accepted by a particular government agency, court, financial institution, educational institution, employer, or other receiving organization. Clients are responsible for confirming any specific certification, formatting, credential, translation, or submission requirements imposed by the receiving organization before engaging services. 8. Client Responsibilities Clients agree to provide accurate, complete, and timely information reasonably necessary for the Company to perform the requested services. For notarization appointments, Clients are responsible for presenting documents that are sufficiently complete and ready for notarization and for obtaining any necessary legal guidance before the appointment. Signers must satisfy applicable identification, willingness, competency, personal appearance, and other requirements applicable to the requested notarial act. The Company reserves the right and may be legally required to refuse a notarization when applicable requirements are not satisfied. Clients are responsible for being available and prepared at the agreed appointment time. Missing or incomplete documents, inadequate identification, unavailable parties, incorrect appointment information, delays, or other circumstances outside the Company's control may result in additional fees, rescheduling, delays, or inability to complete the requested service. 9. Fees and Payment Fees vary depending on the type and scope of service, time commitment, travel, location, scheduling requirements, urgency, coordination requirements, complexity, and other applicable factors. Certain services, including Signature Concierge Services and customized professional engagements, may be individually quoted and may require a separate engagement letter, service agreement, deposit, retainer, invoice, or other payment arrangement. Fees for notarial acts will be charged in accordance with applicable Washington law. Payment is due according to the terms communicated for the particular service or engagement. Unless otherwise agreed in writing or required by applicable law, fees for completed services are generally nonrefundable. 10. Cancellations, Rescheduling, Travel, and Waiting Time Unless different terms are communicated for a particular engagement, Clients should provide at least 24 hours' notice when canceling or rescheduling an appointment. Late cancellations, missed appointments, travel already incurred, excessive waiting time, or circumstances preventing completion after the Company has begun performing the service may result in applicable cancellation, travel, waiting-time, or service fees when permitted by law and appropriately disclosed. Customized or Signature Concierge engagements may be subject to separate cancellation, rescheduling, travel, deposit, or payment terms communicated before acceptance of the engagement. 11. No Guarantee of Outcome The Company does not guarantee any particular legal, financial, employment, immigration, business, transaction, recording, filing, approval, acceptance, hiring, lending, real estate, or other outcome resulting from the use of our services. Clients are responsible for determining whether documents, translations, certifications, services, or other deliverables satisfy the requirements of the receiving organization, government agency, court, lender, title or escrow company, employer, attorney, financial institution, or other third party. Decisions, requirements, processing times, approvals, rejections, and actions of third parties are outside the Company's control. 12. Third-Party Services and Coordination Some engagements may involve coordination or communication with attorneys, lenders, title or escrow companies, government agencies, businesses, couriers, technology platforms, payment processors, remote-notarization providers, or other third parties. Unless expressly agreed otherwise in writing, these third parties are independent from Yakima Valley Signature Solutions LLC. The Company is not responsible for the independent actions, decisions, policies, availability, errors, delays, technological failures, or requirements of third parties that are outside the Company's reasonable control. 13. Privacy and Confidentiality Yakima Valley Signature Solutions LLC values the privacy and confidentiality of Client information. Personal information may be collected and used as reasonably necessary to respond to inquiries, evaluate service requests, schedule appointments, provide services, process payments, maintain appropriate records, communicate with Clients, protect the Company and its Clients, and comply with applicable obligations. The Company takes reasonable measures designed to safeguard information entrusted to it. However, no electronic transmission, website, email system, online form, third-party platform, or storage method can be guaranteed to be completely secure. Personal information is handled in accordance with applicable law and the Company's Privacy Policy, which is incorporated into these Terms by reference where applicable. Clients should avoid transmitting unnecessary sensitive information through unsecured communication methods. 14. Notarial Records and Documents The Company will maintain notarial records as required by applicable Washington law. Possession of documents or information for purposes of a separate professional service does not alter the Company's obligations or limitations when acting in the capacity of a notary public. The Company will not retain copies or electronic images of notarized documents solely as part of a notarial transaction except when permitted or required by applicable law. 15. Data and Information Security The Company takes reasonable administrative, technical, and physical measures appropriate to its operations and the nature of information in its possession. Clients acknowledge that no method of electronic communication or storage is completely secure. The Company may use third-party technology and service providers for website hosting, forms, communications, payment processing, scheduling, remote online notarization, document transmission, or other business functions. Such providers may maintain their own terms, security practices, and privacy policies. Additional information regarding the collection, use, disclosure, and retention of personal information is available in the Company's Privacy Policy. 16. Limitation of Liability To the fullest extent permitted by applicable law, Yakima Valley Signature Solutions LLC will not be liable for indirect, incidental, special, punitive, or consequential damages arising from the use of the Company's website or services. To the fullest extent permitted by applicable law, the Company's aggregate liability arising from a particular service or engagement will not exceed the amount paid to the Company for the specific service or engagement giving rise to the claim. Nothing in these Terms is intended to exclude, waive, or limit any liability that cannot legally be excluded, waived, or limited. 17. Intellectual Property Unless otherwise stated, original website content, text, graphics, branding, logos, designs, and other materials created and owned by Yakima Valley Signature Solutions LLC are the property of the Company. Company-owned materials may not be copied, reproduced, distributed, modified, published, or used for commercial purposes without prior authorization. Third-party trademarks, content, forms, documents, and other materials remain the property of their respective owners. 18. Website Use and Electronic Communications Information provided on the Company's website is for general informational purposes and does not constitute legal or other licensed professional advice. Submitting an online inquiry, Signature Concierge inquiry, contact form, email, text message, or other communication does not by itself create a service engagement. Clients and prospective Clients consent to receiving communications reasonably related to their inquiries, appointments, requested services, or engagements through the contact information they provide. 19. Right to Decline or Discontinue Services The Company reserves the right to decline or discontinue a requested service when appropriate. This may include circumstances in which the requested work: Is outside the Company's lawful scope or professional capabilities; Requires a professional license, authorization, or expertise the Company does not possess; Would require the Company to provide legal advice or engage in the unauthorized practice of law; Cannot lawfully be notarized; Presents a conflict of interest or other legal or ethical concern; Falls outside the Company's availability or agreed service area; Cannot reasonably be completed with the information or documentation provided; or Otherwise cannot be performed according to the agreed terms. Any remaining payment obligations or refunds following discontinuation will be determined according to work already performed, applicable engagement terms, and applicable law. 20. Governing Law These Terms and Conditions are governed by the laws of the State of Washington, without regard to conflict-of-law principles. Any dispute concerning these Terms or services provided by the Company will be subject to applicable Washington law and the jurisdiction and venue of courts having proper jurisdiction in Yakima County, Washington, unless otherwise required by law or agreed in writing. 21. Changes to These Terms The Company may update these Terms and Conditions periodically to reflect changes in services, business practices, or applicable requirements. Updated Terms will become effective when posted to the Company's website unless otherwise stated. The “Last Updated” date displayed above will indicate when these Terms were most recently revised. 22. Severability If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law. 23. Entire Agreement and Service-Specific Terms These Terms govern general use of the Company's website and services. Certain services may be subject to additional written terms contained in a quote, invoice, engagement letter, service agreement, statement of work, or other written agreement. If service-specific written terms conflict with these general Terms, the service-specific terms will control with respect to that particular engagement to the extent of the conflict. 24.
